Terms of Service

1. Acceptance of these terms

These Terms of Service govern your access to and use of VendingBay (the “Platform”). By creating an account, browsing listings, or transacting on the Platform, you agree to be bound by these terms. If you do not agree, you must not use the Platform. Separate Buyer Protection Terms apply to funds held for a sale, and our Privacy Policy explains how we handle your personal data.

2. Accounts and eligibility

  • You must be at least 18 years old and legally able to enter into contracts.
  • Business accounts must supply a valid Singapore Unique Entity Number (UEN). You confirm you are authorised to act for that entity.
  • You must verify your email address and mobile number before transacting. Verification codes are single-use and time-limited.
  • You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately of any unauthorised use.
  • One account per person or entity. We may suspend duplicate accounts.

3. Listings and seller obligations

  • Sellers must have the legal right to sell each asset listed and must describe its condition, revenue history, and location accurately.
  • Revenue figures, operating details, and any supporting documents you upload must be truthful and not misleading. Fabricated revenue evidence is grounds for immediate removal and account termination.
  • Listings are submitted for review and become visible only once approved. We may reject, edit, or remove any listing at our discretion.
  • You must keep listings current and mark them as sold or withdraw them promptly when no longer available.
  • You grant us a non-exclusive licence to host and display the content you upload for the purpose of operating the Platform.

4. Unlocks and buyer fees

  • Certain listing details — including machine condition, operating details, reason for sale, and seller contact information — are visible only after you unlock the listing.
  • Each buyer receives a number of free unlocks (currently three). Unlocking an individual listing consumes one unlock; unlocking a single location within a package deal also consumes one.
  • After the free allowance, unlocks are charged at the fee published on the Platform at the time of purchase (currently S$5 per unlock). Package deals may be unlocked per location or in whole at a discount shown before payment.
  • Unlock fees are non-refundable once the gated information has been revealed, except where required by law or where the listing is found to be fraudulent.
  • Current fees are always displayed before you confirm payment. We may change fees prospectively; changes never apply to unlocks already purchased.

5. Payments, Buyer Protection and platform commission

  • Completed sales transacted through the Platform are subject to a platform commission (currently 10% of the sale price), deducted before funds are released to the seller.
  • Payments are processed by Stripe. Funds are held and released according to the Buyer Protection Terms, which form part of this agreement.
  • Sellers must complete Stripe Connect onboarding, including identity and bank verification, before receiving payouts.
  • VendingBay is a marketplace, not a party to the sale contract between buyer and seller. We do not take title to any asset.

6. Prohibited conduct

You must not:

  • Circumvent Platform fees by arranging payment off-platform after being introduced through an unlock.
  • Post false, misleading, or fraudulent listings, or impersonate another person or business.
  • Scrape, harvest, or resell listing data or seller contact details.
  • Use the Platform for money laundering, sanctions evasion, or any unlawful purpose.
  • Harass other users, or use contact details obtained through an unlock for unsolicited marketing.
  • Interfere with the Platform’s security or attempt to access accounts or data that are not yours.

7. Suspension and termination

We may suspend or terminate your account, remove content, or withhold funds where we reasonably believe these terms have been breached, where required by law, or to prevent harm to other users. You may close your account at any time; obligations arising from completed or in-flight transactions survive closure.

8. Disclaimers and liability

  • The Platform is provided “as is”. We do not warrant that listings are accurate, that assets are fit for any purpose, or that the Platform will be uninterrupted or error-free.
  • You are responsible for your own due diligence, including inspecting machines and verifying revenue claims, before purchasing.
  • To the fullest extent permitted by law, our aggregate liability to you is limited to the total fees you paid to VendingBay in the twelve months preceding the claim.
  • We are not liable for indirect or consequential loss, including lost profits or lost business opportunity.
  • Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or death or personal injury caused by negligence.

9. Disputes and governing law

Disputes between buyers and sellers should first be raised through the Platform’s dispute process described in the Buyer Protection Terms. These terms are governed by the laws of Singapore, and you submit to the exclusive jurisdiction of the Singapore courts.

10. Changes and contact

We may update these terms from time to time. Material changes will be notified by email or on-Platform notice before taking effect; continued use after that date constitutes acceptance. Questions about these terms can be sent to hello@vendingbay.com.
